1. Acceptance of Terms

By accessing or using the WebInnovax website (webinnovax.com), services, software, mobile applications, or any related offerings (“Services”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree with any part of these Terms, you must not use our Services.

2. Description of Services

WebInnovax provides custom software development, CRM & ERP solutions, mobile application development, web design & development, CMS implementation, cloud services, IT consulting, and related professional services. All services are subject to separate written agreements, quotations, or statements of work (“Project Agreements”) that will prevail over these general Terms in case of conflict.

3. Use of Website & Services

• You may use the website for lawful purposes only.
• You agree not to reproduce, duplicate, copy, sell, resell, or exploit any portion of the Services without express written permission.
• You are responsible for maintaining the confidentiality of any account credentials and for all activities under your account.

4. Intellectual Property

All content, code, designs, software, documentation, and materials provided by WebInnovax remain our property or licensed to us. Upon full payment and subject to the Project Agreement, we grant you a non-exclusive, non-transferable license to use the final deliverables for your internal business purposes.

You retain ownership of any materials you provide to us (e.g., logos, content, data). You grant us a limited license to use them solely to perform the agreed services.

5. Payment & Refund Policy

Payments are due as per the agreed milestones in the Project Agreement. All fees are non-refundable except as explicitly stated in writing. We reserve the right to suspend or terminate services for non-payment.

6. Limitation of Liability

To the maximum extent permitted by law, WebInnovax shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to the use of our Services, even if advised of the possibility of such damages.

Our total liability shall not exceed the amount paid by you in the 12 months preceding the claim.

7. Termination

We may terminate or suspend your access to Services immediately, without prior notice, for breach of these Terms or non-payment. You may terminate services as per the Project Agreement terms.

8. Governing Law

These Terms shall be governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of courts in Ahmedabad, Gujarat.

9. Changes to Terms

We may update these Terms from time to time. Continued use of the Services after changes constitutes acceptance of the new Terms.
